1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the Karum platform and services ("Services") provided by Karum ("we", "us", or "our") via karum.ai.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Eligibility

Our Services are intended for business users only. By using our Services, you confirm that you are acting in a professional or commercial capacity and not as a consumer.

3. Account Registration

To access the Services, you may be required to create an account. You agree to:

• Provide accurate and up-to-date information
• Keep your login credentials secure and confidential
• Notify us promptly at support@karum.ai if you suspect unauthorised access
• Take responsibility for all activity that occurs under your account

4. Waitlist & Free Trials

4.1 Waitlist

Joining the Karum waitlist does not constitute a binding agreement or guarantee access to the Services. We reserve the right to grant or deny access at our discretion.

4.2 Free Trials

Where we offer a free trial, access is granted for the duration specified at sign-up. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify or withdraw free trial offerings at any time.

5. Subscriptions & Payment

5.1 Subscription Plans

Access to the Services is provided on a subscription basis. Details of available plans and pricing are set out on our website and may be updated from time to time.

5.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Payment is processed by our third-party payment provider. By subscribing, you authorise us to charge your chosen payment method on each renewal date.

5.3 Taxes

Prices are exclusive of VAT or other applicable taxes unless stated otherwise. You are responsible for any taxes applicable in your jurisdiction.

5.4 Cancellation

You may cancel your subscription at any time via your account settings or by contacting support@karum.ai. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a subscription period unless required by law.

5.5 Non-Payment

We reserve the right to suspend or terminate access to the Services in the event of failed or overdue payment.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulations
• Attempt to reverse engineer, copy, or reproduce any part of the platform
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to transmit harmful, misleading, or infringing content
• Resell or sublicense access to the Services without our prior written consent

7. Intellectual Property

All intellectual property rights in the Services, including software, design, content, and trademarks, remain the exclusive property of Karum. Nothing in these Terms transfers any ownership rights to you.

You retain ownership of any data or content you submit through the Services. By submitting content, you grant us a limited licence to use it solely to provide and improve the Services.

8. Third-Party Services

Our platform integrates with third-party tools and AI providers to deliver its functionality. We are not responsible for the availability, accuracy, or conduct of third-party services. Your use of third-party integrations may be subject to their own terms and policies.

9. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

• The Services will be uninterrupted, error-free, or secure
• Any outputs or reports generated through the Services are accurate, complete, or suitable for any particular purpose
• The Services will meet your specific business requirements

Outputs generated by AI agents are provided for informational purposes only and should not be relied upon as professional advice.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Karum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

Our total aggregate liability to you shall not exceed the total fees paid by you to Karum in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under English law.

11. Indemnification

You agree to indemnify and hold Karum harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Services (with reasonable notice where possible)

Upon termination, your right to access the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, liability, and governing law) will do so.

13. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or via a notice on our website. Continued use of the Services after the effective date of updated Terms constitutes your acceptance of them.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
